1. Fees and Membership: Upon full payment of the seasonal membership fee (the“Membership Fees”), the undersigned shall become a “Marina Member” entitled to use of the Facilities (as defined below) for the current Season (as defined below). A $30 fee will be charged for all returned checks. Membership privileges will be extended to the Marina Member’s Immediate Family. A Marina Member’s “Immediate Family” includes the Marina Member’s spouse and the unmarried children of either spouse, under the age of twenty-three (23) and attending school on a full time basis.

2. Facilities: Membership provides Marina Member with use of the Atlantic Marina beach,adjacent playground, picnic tables, grills and pool privileges (collectively the “Facilities”). The Facilities are only available to Marina Members and not the general public. Season shall mean Memorial Day to Labor Day.

3. Facility Rules: Marina Member agrees to fully comply with all posted rules andregulations (the “Facility Rules”) and to supervise all Immediate Family to ensure their compliance therewith. Marina Members or Immediate Family who fail to observe the Facility Rules may subject the Marina Member to any of the following disciplinary actions: verbal warning, written warning, suspension, monetary fine, or expulsion. Atlantic Marina will review each noncompliance individually and may invoke any one of the actions listed above. All incidents will be filed in the Marina Member’s record. All decisions by Atlantic Marina are final. Expelled Marina Members will receive no refund of Membership Fees.

4. Membership Rights: I hereby acknowledge that holding a membership for AtlanticMarina permits me to use the Facilities in accordance with this Agreement. Purchasing a membership is not an investment in Atlantic Marina or the Facilities and does not give a Marina Member a vested or prescriptive right or easement to use the Facilities or an equity or ownership interest or any other property interest. A Marina Member solely acquires a revocable license to use the Facilities in accordance with the terms and conditions of this Agreement, as the same may be amended from time to time. Atlantic Marina reserves the right, in its sole discretion, to terminate or modify this Agreement, to sell, lease or otherwise dispose of the Facilities in any manner whatsoever and to any person whomsoever, to add, issue, modify or terminate any type, category or class of membership, to discontinue operation of any or all of the Facilities, and to make any other changes in the terms and conditions of the membership or in the Facilities available for use by members.

6. Waiver and Indemnification: I hereby acknowledge that the use of the Facilities and anyprivilege or service incident to membership is undertaken with knowledge of risk of possible injury or loss of or damage to personal property. I hereby accept any and all risk of injury to myself, my guests and my family, or loss of or damager to personal property, sustained, while using the Facilities or while involved in any event or activity incidental to membership in Atlantic Marina. I hereby agree to release,  $450 Weekday ONLY Membership  $750 Family Membership $600 Couple (Max 2 people) Membership 2 waive my rights against, and discharge Atlantic Marina, its parents, affiliates, and subsidiary corporations, predecessors, successors, assigns, officers, shareholders, partners, agents, managers, employees, and independent contractors (collectively, "Released Parties") from any and all liability, responsibility or accountability, in damages or otherwise, for death, personal injury, or property damage which has been incurred or which is hereinafter incurred by me, my family, or my guests directly or indirectly from the acts or omissions of Released Parties related to Atlantic Marina, the Facilities or membership. Furthermore, I hereby agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, damages, losses, and expenses, including without limitation reasonable attorneys’ fees, arising out of or resulting from the acts or omissions of me, my family, and/or my guests related to Atlantic Marina, the Facilities, or membership.

7. Disputes; Governing Law: Any controversy arising out of, or relating to MarinaMember’s use of the Facilities, the membership, or any breach thereof, shall be settled by bringing a proper action in the small claims court or its equivalent, if the controversy is within the jurisdiction of the small claims court. Any controversy, other than nonpayment of Membership Fees, charges and accounts by Marina Member, arising out of, or relating to, this Agreement, the membership, or a breach, which is not within the jurisdiction of the small claims court, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its rules. A judgment upon an award rendered by the arbitrator may be entered in any court having jurisdiction. The initiating party shall give written notice to the other party of its decision to arbitrate by providing a specific statement setting forth the nature of the dispute, the amount involved, the remedy sought, and the hearing locale requested. The initiating party shall be responsible for all filing requirements and the payment of any fees according to the rules of the applicable regional office of the American Arbitration Association. The arbitrator shall award to the prevailing party, if any, as determined by the arbitrator, all of its costs and expenses including attorney's fees, arbitrator's fees, and out-of-pocket expenses of any kind. The consideration of the parties to be bound by arbitration is not only a waiver of trial by jury, but also the waiver of any rights to appeal the arbitration finding. Marina Member agrees that Atlantic Marina’s liability for any proven damages shall be limited to the Membership Fees paid by Marina Member under this Agreement. If Atlantic Marina brings any action to enforce any of the terms, conditions or promises in this Agreement, it shall be entitled to its reasonable attorneys’ fees in such an action. This agreement shall be governed by Maryland law, without application of principles governing conflicts of law.

8. Force Majeure: Atlantic Marina is not liable for events beyond its control which may interfere with use of the Facilities, including, but not limited to, Acts of God, acts of governmental agencies, fire, strikes, war, and inclement weather, including flooding.

I ACKNOWLEDGE THE CONTENTS OF THIS AGREEMENT INCLUDING, BUT NOT LIMITED TO, PROVISIONS FOR ARBITRATION OF DISPUTES, FINANCIAL OBLIGATIONS, DISCIPLINARY ACTION, RELEASE OF LIABILITY FOR PERSONAL INJURY AND THEFT. I HEREBY FULLY RELEASE AND DISCHARGE ATLANTIC MARINA AND ITS EMPLOYEES, AGENTS, PARTNERS, AFFILIATES AND ASSIGNS FROM ANY LIABILITY, INJURY, LOSS, DAMAGE OR CLAIM ARISING FROM OUR USE OF THE FACILITIES.

TERMS, RULES & CONDITIONS: The following terms, rules and conditions (the “Facility Rules”) apply to your use of the Facilities. As a Marina Member, you are expected to fully comply with the Rules and to ensure each of your guests likewise comply. Marina Members are responsible for the behavior of their guests. The Facility Rules may be updated from time to time. (1) Marina Members must present a valid identification when signing in at the Facilities. (2) No one is permitted in the pool before the lifeguard is on duty. (3) No alcoholic beverages, smoking, chewing gum, pets, bicycles, motorbikes, skateboards or glass of any type is permitted in the pool area or on the beach. All food must be kept in paper or plastic containers and consumed in designated areas. (4) Marina Members are requested to shower before entering the pool. (5) Atlantic Marina may refuse admission to any person which has the appearance of a communicable disease, including, but not limited to nasal, ear or eye discharge or open skin lesions. Any person who is visibly intoxicated or with excessive sunburn, or bandages of any kind will be refused admission. (6) Persons in the pool must wear proper bathing suits. No cut-offs are permitted. (7) Children under the age of twelve (12) must be accompanied by an adult at all times. It is a parent/guardian’s responsibility to closely watch children, including accompanying a non-swimmer in the water at all times. (8) Infants wearing diapers or anyone who is not toilet trained is not permitted in the pool at any time. (9) Life vests, approved by the United States Coast Guard, are acceptable; however, in the case of a child using an approved life vest, a parent or guardian must accompany the child in the water. No inner tubes, water wings, rafts or other flotation devices are permitted at any time. (10) Marina Members use the Facilities at their own risk and in conformance with all Facility Rules. All swimmers must exit the pool when the lifeguard leaves his/her station or upon the lifeguard’s request. (11) All guests must be accompanied by a Marina Member. (12) Diving and horseplay in or around the pool, including running, pushing, wrestling or ballplaying, is prohibited. Spouting of water and similar unhygienic acts are prohibited. (13) Marina Members are expected to be respectful of other Marina Members and guests and refrain from disruptive behavior such as profane language, excessive splashing or music played at a high volume. (14) Marina Members are expected to clean up after their time in the pool area, by collecting all personal belongings and disposing of all trash items in the appropriate receptacles. (15) Atlantic Marina reserves the right to remove any Marina Member or guest from the pool or the Facilities for any conduct which is deemed improper or dangerous or contrary to the Facility Rules. (16) Atlantic Marina may close the Premises or the pool at any time, with or without notice, due to adverse weather or operational conditions, in its sole discretion. The pool will be closed in accordance with Health Department regulations in the event of fecal contamination. (17) Baby strollers and baby carriages are not permitted within ten (10) feet of the pool. (18) Any damage to the Facilities will be charged to the responsible party. (19) Atlantic Marina is not responsible for loss or damage to personal property. (20) Injuries, however slight, must be reported to the lifeguard on duty. {Adopted February, 2008.}
